Matt has a wide array of experience on transactions typically in the $1-20 Million EBITDA range (Earnings before interest, taxes, depreciation, and amortization).
Regardless of the size of the transaction, the same issues are important to business sellers. A sample of these include the value of their company, confidentiality during a transaction, understanding the tax issues of selling a company (because Matt believes the amount of money you keep is more important than the sale price of the company), ensuring appropriate legal representation so that there are no surprises after the sale, and many other important issues.
Matt has been involved with complicated business transfers such as his representation of a company involved in a three-way merger that results in a new combined company with $250MM in revenue. The new combined company is focused on creating a national footprint in their Information Technology market and seeks a public offering in the near future. At the same time, straightforward business sales to strategic buyers and private equity groups are the mainstay of his practice.
Matt represents sellers of privately held companies and he also represents individuals in their endeavor to purchase medium sized companies. On the more advanced end of the spectrum, he has several years of experience representing private equity buyers pursuing acquisitions for growth.
Matt has owned and operated companies, so he understands the hard details of business including issues with insurance, staffing, financial statements and leadership succession planning.
As an Atlanta native for over 40 years, Matt delivers a superior level of local marketplace knowledge. Matt’s attributes of maturity, respect, and honor were developed and honed during seven years as an officer in the U.S. Army. His strong technical skills allowed him to obtain the rare combination of duties as both a military intelligence officer and a
pilot with the dual qualifications for both rotary and fixed wing aircraft. Matt piloted more than 100 missions and 500 flight hours during Top Secret missions. Matt is
certified by the Department of Homeland Security as an Active Shooter Threat Instructor and gives annual classes to police officers to ensure they can respond appropriately to an Active Shooter.
On a personal note, Matt lives in Georgia with his wife Sheri (also an Atlanta native) and has three daughters that are all UGA Bulldogs. In his spare time, he enjoys golf, fishing, water skiing, hunting, aviation, and playing the guitar.
